ConocoPhillips Board Set

HOUSTON -- ConocoPhillips Inc. yesterday named 16 directors to its board. The $15.1 billion merger of Phillips Petroleum Co. and Conoco Inc. was completed late last week. The deal created the world's sixth-largest oil and gas company, and third largest in the United States, behind Exxon Mobil Corp. and ChevronTexaco Corp.

The ConocoPhillips board consists of 14 outside directors and two inside directors. Of the outside directors, seven were members of Phillips' board and seven were members of Conoco's board prior to the merger.

The ConocoPhillips includes:
* Richard H. Auchinleck, retired president and chief executive officer (CEO) of Gulf Canada Resources Ltd.
* Norman R. Augustine, chairman of the executive committee of the board of directors of Lockheed Martin Corp.
* David L. Boren, president of the University of Oklahoma.
* Kenneth M. Duberstein, chairman and CEO of the Duberstein Group, a strategic planning and consulting company.
* Archie W. Dunham, chairman of ConocoPhillips.
* Ruth R. Harkin, senior vice president, international affairs and government relations for United Technologies Corp.
* Larry D. Horner, retired chairman of Pacific USA Holdings Corp.
* Charles C. Krulak, chairman and CEO of MBNA Europe.
* Frank A. McPherson, retired chairman and CEO of Kerr-McGee Corp.
* James J. Mulva, president and CEO of ConocoPhillips.
* William K. Reilly, president and CEO of Aqua International Partners, an investment group that finances water improvements in developing countries.
* William R. Rhodes, senior vice chairman of Citigroup Inc. and Citibank N.A.
* J. Stapleton Roy, managing director of Kissinger Associates Inc.
* Randall L. Tobias, chairman emeritus of Eli Lilly and Co.
* Victoria J. Tschinkel, senior environmental consultant to Landers & Parsons law firm in Tallahassee, Fla.
* Kathryn C. Turner, chairperson and CEO of Standard Technology, Inc.

Despite the required sell-off of refineries and convenience stores in Utah and Colorado and certain operations in Missouri, Illinois, New Mexico, Texas and Washington, the new company will operate a 17,000-store network and six refineries.
